Terms & Conditions

1. The Promoter

1.1 The Allume Energy Referral Program (Program) is offered by Allume Energy Pty Ltd (ABN 58 605 671 494) of 18 Studley Street, Abbotsford VIC 3067 (Allume, we, us, our).

1.2 By registering for the Program or submitting a referral, you agree to be bound by these Terms and Conditions (Terms). If you do not agree, do not participate.

2. Definitions

In these Terms:

Commissioning means the point at which a SolShare system supplied by Allume has been installed at the Referred Building and commissioned by Allume or its authorised installer such that it is energised and operational.

CRM means Allume's customer relationship management system and associated business records.

New Contact has the meaning given in clause 6.

Referral Landing Page means the web page accessed via the Referral Link, on which a Referred Party submits their own details.

Referral Link means the unique link issued to a Referrer by Allume following Registration.

Referral Submission means the completed submission of a Referred Party's details via the Referral Landing Page, using a Referrer's Referral Link.

Referred Building means the multi-dwelling residential or mixed-use building identified in a Referral Submission.

Referred Party means the person who completes a Referral Submission.

Referrer, you and your mean an individual who has completed Registration and holds a Referral Link.

Registration means the submission of your own details via Allume's referral registration page at https://allumeenergy.com/refer-a-friend-get-250-each-allume-energy.

Reward has the meaning given in clause 7.

Successful Referral has the meaning given in clause 6.

3. Who can participate

3.1 To participate as a Referrer, you must:

(a) be an individual aged 18 years or over;

(b) be a resident of Australia with a valid Australian postal address and email address; and

(c) complete Registration and provide accurate and complete details.

3.2 The following are not eligible to participate as Referrers:

(a) employees, officers and contractors of Allume, and their immediate family members;

(b) any person or entity that is party to a channel partner, agency, distribution, commission or introducer agreement with Allume, in respect of any building covered by that agreement; and

(c) any person referring a building in which they are a lot owner, an owner corporation committee member, a strata committee member, or an office holder of the owners corporation or body corporate (see clause 4.3).

3.3 Registration and participation are personal to you. Referral Links must not be sold, transferred, or published in a manner intended to circumvent these Terms.

4. Strata managers, agents and conflicts of interest

Read this section carefully. It is your responsibility, not Allume's.

4.1 If you are a strata manager, owners corporation manager, building manager, facilities manager, real estate agent, property manager, consultant, contractor, or any other person who advises, represents or acts for an owners corporation, body corporate, landlord, developer or building owner, you may participate only if you:

(a) are permitted to receive the Reward under all applicable laws, including (without limitation) the Owners Corporations Act 2006 (Vic) and the Strata Schemes Management Act 2015 (NSW), and under your contract of engagement, your employer's policies, and any professional or licensing obligations that apply to you; and

(b) disclose the Reward – including the fact that it is offered, its value, and that you may receive it – to the owners corporation, body corporate, client, employer or principal that you advise or act for, in the manner and at the time required by law or by your engagement.

4.2 By submitting a Referral or accepting a Reward, you warrant to Allume that you have complied, and will continue to comply, with clause 4.1. You indemnify Allume against any loss it suffers arising from a breach of that warranty.

4.3 A lot owner, owners corporation committee member, strata committee member, or office holder of an owners corporation or body corporate may not refer their own building. They may refer any other building for which they do not hold that role.

4.4 Allume may, in its absolute discretion, decline to register a referral or withhold a Reward where it reasonably considers that the Reward could not lawfully or appropriately be paid, or has not been properly disclosed. Allume is not obliged to investigate or verify your compliance with clause 4.1, and does not do so on your behalf.

4.5 Nothing in these Terms is legal, financial or tax advice. If you are unsure whether you can accept a Reward, obtain your own advice before participating.

5. How to make a referral

5.1 Complete Registration on Allume's referral page at https://allumeenergy.com/refer-a-friend-get-250-each-allume-energy using your own details. You do not submit any other person's details at this stage.

5.2 Allume will issue you a Referral Link by email and SMS.

5.3 Forward the Referral Link to any person you believe may be interested in SolShare.

5.4 That person becomes a Referred Party by opening the Referral Link and submitting their own details on the Referral Landing Page.

5.5 A referral is only registered when a Referral Submission is completed. Verbal introductions, emails to Allume staff, mentions in conversation and any other method do not create a referral for the purposes of the Program. Allume has no obligation to register a referral made by any other means.

5.6 The date and time recorded by Allume for a Referral Submission is the referral's timestamp for all purposes under these Terms.

6. Qualifying referrals

6.1 A referral is a Successful Referral, and a Reward becomes payable, only if all of the following are satisfied:

(a) you completed Registration and remain eligible under clause 3;

(b) a Referral Submission was completed using your Referral Link;

(c) at the time of that Referral Submission, the Referred Building was a New Contact (clause 6.2);

(d) you were the first Referrer to submit a Referral Submission for that Referred Building (clause 6.4);

(e) Allume and the relevant customer execute a binding agreement for the supply of SolShare at the Referred Building; and

(f) Commissioning of that SolShare system is completed.

6.2 A Referred Building is a New Contact if, at the time of the Referral Submission, Allume has no record in its CRM of any contact, enquiry, quote, proposal, tender, lead or dealing in the previous five (5) years concerning that building or any of its owners, developers, owners corporation, body corporate, strata manager or building manager in their capacity in relation to that building.

6.3 Allume's CRM and business records are the sole and final determinant of whether a Referred Building is a New Contact. Allume's determination is final and not open to dispute.

6.4 Where more than one Referrer submits a referral for the same Referred Building, the first Referral Submission by timestamp is the only one eligible, regardless of who Allume ultimately deals with or who is later claimed to have influenced the sale.

6.5 A maximum of one (1) Reward is payable per Referred Building, regardless of the number of Referral Submissions, contracts, stages, or SolShare units installed at that building.

6.6 There is no limit on the number of separate buildings a single Referrer may refer, or on the number of Rewards a Referrer may earn.

6.7 Allume is under no obligation to contact a Referred Party, to pursue any opportunity, to make an offer, or to enter into any agreement. All commercial decisions are Allume's alone.

7. The Reward

7.1 For each Successful Referral, Allume will pay the Referrer a Reward of AUD $500, comprising two (2) Visa prepaid gift cards of AUD $250 each.

7.2 Both gift cards are issued together, within 30 days of Commissioning, to the email address or postal address provided at Registration. It is your responsibility to keep those details current.

7.3 The Reward is not transferable, not redeemable for cash, and not exchangeable for any other item or benefit.

7.4 Gift cards are issued by a third party and are subject to that issuer's own terms and conditions, including expiry dates and usage restrictions. Allume is not the issuer and is not responsible for gift cards that are lost, stolen, damaged, expired, or not honoured by a merchant, or for any act or omission of the issuer.

7.5 Allume may substitute a Reward of equal or greater value if a gift card of the stated type is unavailable.

8. Tax

8.1 You are solely responsible for determining and meeting any tax obligations arising from a Reward, including income tax, GST and any obligations to your employer or principal.

8.2 Allume does not provide tax advice and gives no representation as to the tax treatment of a Reward. Seek independent advice if you are unsure.

9. Privacy

9.1 Allume collects, uses and discloses personal information in accordance with its Privacy Policy and the Privacy Act 1988 (Cth).

9.2 At Registration you provide only your own personal information. A Referred Party provides their own personal information directly to Allume via the Referral Landing Page.

9.3 You must not submit any other person's personal information to Allume through the Program, and must not use the Referral Link in any way that breaches the Spam Act 2003 (Cth) – including sending unsolicited commercial electronic messages to people who have not consented to receive them.

9.4 Allume may disclose to a Referrer the fact that a referral has or has not converted, and may disclose to a Referred Party that they were referred by you.

10. Disqualification

10.1 Allume may, in its absolute discretion, disqualify a Referrer, cancel a referral, or withhold or recover a Reward where it reasonably suspects:

(a) fraud, dishonesty, or provision of false or misleading information;

(b) self-referral, or referral through a related entity, alias or duplicate registration;

(c) a breach of these Terms, including clauses 3, 4 or 9;

(d) conduct that damages, or is likely to damage, Allume's reputation or its relationship with a customer; or

(e) use of the Program to circumvent an existing commercial arrangement with Allume.

11. Changes to the Program

11.1 Allume may amend these Terms, or suspend or terminate the Program, at any time on notice published at https://allumeenergy.com/refer-a-friend-get-250-each-allume-energy or sent to registered Referrers.

11.2 Where the Program is terminated, Referral Submissions completed before the effective date of termination will continue to be assessed under these Terms, and Rewards paid if they become Successful Referrals, for a period of 12 months from the date of termination.

11.3 Amended Terms apply to Referral Submissions completed on or after the date the amendment takes effect.

12. Liability

12.1 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

12.2 Subject to clause 12.1, and to the maximum extent permitted by law, Allume's total liability to a Referrer in connection with the Program is limited to the value of the Reward payable for a Successful Referral, and Allume is not liable for any indirect or consequential loss, or for any loss of opportunity, profit or expected commission.

12.3 Participation in the Program does not create any employment, agency, partnership, joint venture or franchise relationship between you and Allume. You have no authority to make any representation or commitment on Allume's behalf, and must not hold yourself out as doing so.

13. General

13.1 These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.

13.2 The Program is open only to referrals of buildings located in Australia.

13.3 If any provision of these Terms is found to be unenforceable, it is severed and the remaining provisions continue in force.

13.4 Failure by Allume to enforce a provision is not a waiver of it.
